Litigation Funding in the DIFC Courts: 2026 Guide

Third-party funding is permitted for proceedings in the DIFC Courts under a specific court framework. Practice Direction No. 2 of 2017 addresses funded proceedings, but disclosure, costs and agreement requirements must be applied to the actual matter with independent counsel.

    What are the DIFC Courts?

The DIFC Courts are the common-law courts of Dubai’s international financial centre. Their jurisdiction must be established from the governing framework and the parties’ circumstances, not assumed because a claimant is based in Dubai. Counsel should review the contract’s jurisdiction clause, the connection to the DIFC and any valid agreement on court jurisdiction.

Common fundable disputes include contract, shareholder, banking and construction claims with clear liability evidence and recoverable losses. A claim’s commercial description does not determine jurisdiction. Before funding is sought, map the parties, legal causes of action, available remedies and the assets against which any judgment would be enforced.

What does Practice Direction No. 2 of 2017 address?

The Practice Direction provides an express framework for third-party funding of DIFC proceedings. A funded party must disclose the existence of funding and the funder’s identity in accordance with the applicable requirements. Disclosure of a funding relationship should not be confused with automatic public disclosure of every commercial term.

Counsel should confirm when notice is due, who receives it and what additional disclosure the court may order. A funding review should identify potential conflicts before the agreement is signed. Apply current notice deadlines and proceeding-specific disclosure requirements with counsel.

Independent legal advice about the agreement is important to protect the funded party’s informed decision-making. Counsel should apply the current Practice Direction’s independent-advice requirements and document compliance. The agreement should be reviewed separately from the merits opinion on the underlying dispute.

Which practitioner conduct code is current?

Order No. 4 of 2019 introduced the Mandatory Code of Conduct for Legal Practitioners in the DIFC Courts. It should not be described as the current code without qualification: DIFC Courts Order No. 2 of 2025 repeals and replaces the 2019 code. Use the current text when assessing practitioner duties.

Funding does not replace counsel’s professional obligations to the court or client. Independence, conflicts, confidentiality and informed advice remain important. Counsel should apply funding-specific obligations under the 2025 replacement and any later amendments. This guide does not certify that a particular agreement or practitioner complies.

Can funding affect security for costs or adverse costs?

The court may consider the funding arrangements when dealing with costs and security for costs. A funded claimant should discuss the opponent’s likely application and the funder’s contractual exposure with counsel. Funding is not by itself proof that security will be ordered, or that any requested security is unnecessary.

Budget separately for security, potential adverse costs, an appeal and enforcement. An agreement paying your own lawyers may not cover an order to pay the opponent. Ask what evidence can demonstrate available resources and whether an insurance policy is suitable. Counsel should assess case-specific security and non-party costs exposure.

    How are DIFC judgments enforced?

DIFC judgments can be enforced onshore in Dubai through the applicable legal and referral procedures. Foreign enforcement depends on the destination’s recognition law, treaties and available objections. Counsel must verify the route and required documents rather than treating a DIFC judgment as automatically enforceable everywhere.

Identify assets before filing where possible. Ownership, existing security, insolvency risk and the cost of execution affect likely recovery. A realistic plan should address both interim protection and final collection; a favourable judgment with no reachable assets may not support funding.

How does a funder assess the economics?

A funder compares the likely recoverable amount with the full cost of reaching and collecting that recovery. Start with a defensible valuation of the claim, a staged legal budget and an account of the defendant’s assets. The amount pleaded is not necessarily the amount a court or tribunal will award, and an award is not necessarily money that can be collected.

Dubai Legal Funding typically considers claims of USD 2 million and above, with budgets from USD 250,000 to USD 5 million per matter. Claim value at least 8–10 times the required budget is one consideration, not a guaranteed approval formula. Strong evidence, experienced counsel and a solvent defendant with reachable assets remain essential.

Compare full trial, early settlement and delayed enforcement scenarios. Interest, exchange rates, tax, appeals and third-party costs can affect the economics. Ask which costs are included, what happens if the budget is exhausted and how additional spending changes the funder’s entitlement. An apparently attractive headline multiple can conceal a less favourable distribution after deductions.

Who controls the case and confidential information?

The claimant and their lawyers retain responsibility for strategy and legal advice. A funding agreement may require reporting, consultation about settlement and approval of extra-budget spending. Those provisions should be understood rather than equating funding with either complete control by the funder or an agreement without ongoing obligations.

Before sharing documents, complete a conflict check and agree an NDA. Counsel should assess privilege and applicable disclosure rules; confidentiality in a commercial contract does not necessarily preserve litigation privilege. Begin with a non-privileged summary, then use a proportionate document list and appropriate secure sharing arrangements.

Independent legal advice on the agreement should cover settlement disagreements, termination, changes in merits, adverse costs, access to information and any contractual dispute-resolution mechanism. Identify who pays committed expenses if the agreement ends. Do not assume that a non-recourse description answers every question about breach, third-party liabilities or an unfunded appeal.

What happens between screening and funding?

The screening form takes approximately two minutes. A confidential initial response is provided within 3–5 business days under NDA; that response is not final approval. Due diligence typically takes 3–6 weeks depending on complexity and document availability. A term sheet follows within 1–2 weeks after completing diligence, with agreement execution and first-tranche release after that.

Provide a chronology, core contracts, the legal basis of the claim, principal defences, a reasoned loss estimate, counsel’s staged budget and asset information. Distinguish confirmed facts from assumptions. If a limitation period, preservation obligation or freezing application is urgent, seek legal advice immediately rather than waiting for finance.

Urgent matters can be fast-tracked where possible, but no accelerated decision or court outcome is promised. Conditions in a term sheet should be checked against the deadline and the actual date on which funds can be used. Funding remains subject to review and a signed agreement, not an informal indication of interest.

How should proceeds and downside scenarios be modelled?

Common market references include 2–4x deployed capital or 20–40% of net recoveries, or the greater of the two, sometimes increasing over time. These are general references, not a rate quoted by Dubai Legal Funding. The agreement must define deployed capital, net recovery, priorities, timing and any ratchets or caps.

Illustrative only — not an offer: collecting USD 10 million after deploying USD 1 million, with a 3x total capital multiple, would allocate USD 1 million as returned capital and USD 2 million as additional funder return. USD 7 million, or 70%, would remain for the claimant in that simplified example. Taxes, other creditors, counsel’s deferred fees and separate expenses are excluded.

Model smaller recoveries as well as the optimistic result. Under the agreed non-recourse model, the claimant pays nothing to the funder if the case is lost, but third-party adverse costs can remain. Dubai Legal Funding does not offer cover or insurance for an opponent’s legal costs. Ask counsel to explain how an unfunded liability, cost order or contractual breach affects the position.

    Frequently asked questions

    Is DIFC litigation funding permitted?

Yes, the DIFC Courts have an express framework in Practice Direction No. 2 of 2017. Counsel should apply the current notice, agreement and costs requirements to the particular proceeding.

    Is funding approval guaranteed?

No. Funding is subject to review, diligence and a signed agreement. Meeting a claim-size criterion does not establish sufficient merits or recovery prospects.

Can I keep my own lawyer?

Yes. Dubai Legal Funding works alongside your chosen experienced counsel. The claimant and lawyers retain control of the case, subject to understood reporting and consultation terms.

How quickly can funding be reviewed?

The initial response is within 3–5 business days. Diligence typically takes 3–6 weeks and a term sheet follows within 1–2 weeks after diligence; agreement conditions and documents affect funding release.

What if the claim is lost?

Under the agreed non-recourse model you pay nothing to the funder if the case is lost. Adverse costs and other third-party liabilities must be assessed separately with counsel.

    Can enforcement costs be included?

Enforcement may be included in an agreed budget where a credible asset-recovery route exists. Recognition, execution and foreign counsel costs should be budgeted explicitly.
